MEMBERSHIP AGREEMENT
ARTICLE 1 - PARTIES
This Membership Agreement ("AGREEMENT") has been signed between BEKİR ÇELİK (hereinafter referred to as "Colorsalone") residing at KILIÇALİ PAŞA MAH. ANAHTAR SK. NO: 9 A BEYOĞLU/ İSTANBUL, the owner of the right to use the website www.colorsalone.com and/or www.colorsalone.com.tr ("INTERNET SITE") and the internet user ("MEMBER") who is a member of the INTERNET SITE. "Colorsalone" and "MEMBER" shall hereinafter be referred to as "Party" when used individually and "Parties" when used together.
ARTICLE 2 - SUBJECT OF THE AGREEMENT
The subject of this Agreement is to determine the terms and conditions of use and the rights and obligations of the parties to benefit from and use the INTERNET SITE owned by Colorsalone in order for the MEMBER to purchase products using money order, credit card or other payment methods in case of a special agreement.
ARTICLE 3 - APPROVAL OF THE AGREEMENT
The MEMBER accepts and declares that in order to become a member of www.colorsalone.com and/or www.colorsalone.com.tr, he/she first fills in the membership form correctly and completely, has information about the provisions of the membership agreement, confirms this preliminary information electronically and agrees and declares that he/she will comply with the provisions of this membership agreement every time he/she places an order.
ARTICLE 4 - DEFINITIONS
4.1. Username: The e-mail address filled in by the MEMBER while registering to the system and specified in the Membership Form.
4.2. Password: It is determined by the MEMBER in the Membership Form filled in by the MEMBER when entering the system.
4.3. Usage: It is the MEMBER\'s login to the system with his/her username and password in order to make product purchases or paid/free reservations that require membership at www.colorsalone.com and/or www.colorsalone.com.tr.
ARTICLE 5 - RIGHTS AND OBLIGATIONS OF THE PARTIES
5.1. The MEMBER agrees and undertakes to comply with all provisions of the legal legislation while using the Website and not to violate all the provisions in question and all the terms contained in this Agreement and the rules specified in the relevant parts of the website; otherwise, he/she accepts and undertakes that he/she is fully and exclusively responsible for all legal and criminal liabilities that may arise, that he/she understands and approves all the terms and rules set forth in this Agreement.
5.2. MEMBER cannot engage in activities (spam, virus, etc.) and transactions that prevent or make it difficult for others to use the services on the Website.
5.3. MEMBER may not use the Website in any way that disrupts public order, violates public morality, disturbs and harasses others, infringes the intellectual and copyright rights of others and for any purpose contrary to the law.
5.4. The ideas and thoughts declared and the expressions used by the MEMBER on the Website are exclusively the MEMBER\'s own personal ideas and comments and the MEMBER is solely responsible for the consequences of these ideas and comments. These opinions and thoughts have no relation and connection with Colorsalone. Colorsalone shall not be liable for any damages that may be incurred by third parties or institutions due to the ideas and opinions to be declared by the MEMBER.
5.5. The MEMBER hereby accepts, declares and undertakes that the personal and other information provided by the MEMBER while becoming a member of the Website is in accordance with the truth and that Colorsalone will compensate all damages that Colorsalone may incur due to the untruthfulness of this information in cash and in such cases, the MEMBER\'s membership may be terminated unilaterally by Colorsalone.
5.6. The right to use the password received by the MEMBER from the Website belongs exclusively to the MEMBER. MEMBER cannot give this password to any third party. All legal and criminal liability regarding the use of the password belongs to the MEMBER. The MEMBER accepts, declares and undertakes that all transactions made using the username and password are made by him/her and that he/she is unconditionally and unconditionally responsible, and that Colorsalone will not be responsible for any problems and disputes that may arise from any use of the password.
5.7. Colorsalone shall not be held liable for any unauthorised interception of MEMBER\'s data and any damage to MEMBER\'s software and data. MEMBER agrees in advance not to claim compensation from Colorsalone for any damages it may incur due to the use of the Website.
5.8. The MEMBER hereby agrees not to access or use the information and software of other internet users without authorisation. Otherwise, the legal and criminal liability arising for this reason belongs entirely to the MEMBER.
5.9. Colorsalone has the right to unilaterally suspend or terminate the MEMBER\'s membership and delete all data, documents and files belonging to the MEMBER at any time without any liability.
5.10. All intellectual property rights regarding the design and software of the Website and the text and visual content of the products are the property of Colorsalone and may not be used by the MEMBER without the written permission of Colorsalone. MEMBER accepts, declares and undertakes that the copyright of the services, product prices, images, descriptions and Website software provided by Colorsalone on the Website belongs to Colorsalone, that it will not reproduce, distribute, publish, market these software or services in any way without permission, that it will not enter the services offered in different methods and ways without authorisation other than the conditions determined by Colorsalone and that it will not change the software in any way; in case of non-compliance with these rules, it accepts, declares and undertakes to compensate the damages incurred by Colorsalone immediately and in full.
5.11. Colorsalone may collect, process and use certain information such as the name and internet protocol (IP) address of the internet service provider used to access the site, the date and time of access to the site, the pages accessed while on the site and the internet address of the website that provides direct connection to the site for the improvement and development of the Website and/or within the framework of legal legislation for lawful purposes.
5.12. Colorsalone has taken measures within the existing possibilities to ensure that the Website is free of viruses and similar malicious software. In addition, in order to ensure ultimate security, the user must supply his/her own virus protection system and provide the necessary protection. In this context, by accessing the Website, the MEMBER is deemed to have accepted that he/she is responsible for all errors that may occur in his/her software and operating systems and their direct or indirect consequences.
5.13. Colorsalone has the right to change the content, design and software of the Website at any time, to change, stop or terminate any service provided to users and to delete user information and data registered on the Website at any time.
5.14. Colorsalone may update, amend or repeal the terms of this Agreement at any time without the need for prior notice and/or warning in any form or manner. Each updated, amended or repealed provision shall be effective for all MEMBERS on the date of publication.
ARTICLE 6 - RIGHTS
Colorsalone has the right to share the information belonging to the MEMBER with the relevant official authorities in the event that any one or more of the following situations occur: a criminal complaint or official investigation request is received from the official authorities against the MEMBER and/or it is determined that the MEMBER has made a sabotage or attack that will prevent the operation of the system and/or a MEMBER whose membership has been cancelled for the reasons specified in the contract repeats the breach of contract by becoming a member again. Changes related to the Services will be announced on the Website and when necessary, the MEMBER will be asked to approve the contract changes by clicking the relevant button in order to benefit from the services.
ARTICLE 7 - PRIVACY, PROCESSING PERSONAL DATA and ELECTRONIC COMMERCIAL TRANSMISSION
7.1. The MEMBER hereby declares that the personal information provided in this application form is correct and that all data such as shopping information and personal information to be provided in any way within the scope of the order together with this information, even if the membership is terminated for any reason whatsoever, Colorsalone and its affiliates, subsidiaries, affiliates and partners, including but not limited to those specified herein, accepts and declares that Colorsalone and/or its programme collaborators are not responsible for the collection of this data by all service providers and their shareholders and employees, the processing of this data by the programme collaborators, the use of this data within the framework of the purposes within the programme and the damages that may arise as a result of not updating the information in the application form or providing incorrect information.
7.2. The MEMBER, who is a member of the Website, declares and accepts that he/she allows product and service promotions, advertisements, campaigns, advantages, surveys and other customer satisfaction applications to be offered to him/her by all companies affiliated with Colorsalone within the scope of the applications in force and/or to be put into force. The MEMBER declares and accepts that he/she allows the personal and shopping information and shopping and/or consumer behaviour information that he/she has provided in the past and/or will provide in the future while becoming a member of the Website and/or by other means to be collected for the above purposes, to be shared with all companies affiliated with Colorsalone, to be used and archived by all companies affiliated with Colorsalone. The MEMBER declares and accepts that he/she allows the data to be collected, shared with all companies affiliated with Colorsalone, used and archived by all companies affiliated with Colorsalone when his/her membership ends, unless otherwise notified. Unless the MEMBER notifies otherwise, the MEMBER declares and accepts that he/she allows Colorsalone and all affiliated companies to contact him/her using communication channels such as internet, telephone, SMS, e-mail, etc. MEMBER declares and accepts that he/she will not claim any direct and/or indirect material and/or indirect material and/or moral, negative and/or positive, in short, any damages due to the collection, sharing, use, archiving and access to the aforementioned information and will not hold Colorsalone affiliated companies responsible. If the MEMBER wishes to change his/her data sharing preferences, he/she may submit this request via Colorsalone\'s contact addresses.
7.3. The MEMBER may stop data use-processing and/or communications at any time by contacting Colorsalone through the specified communication channels. According to the MEMBER\'s explicit notification in this regard, personal data processing and/or communications to the party shall be stopped within the legal maximum period; in addition, if the MEMBER wishes, his/her information, except for those required and/or possible to be legally preserved, shall be deleted from the data recording system or anonymised in such a way that his/her identity cannot be determined. If the MEMBER wishes, he/she may always apply to Colorsalone as stated above on issues such as the transactions related to the processing of his/her personal data, the persons to whom it is transferred, correction in case of incomplete or incorrect data, notification of the corrected information to the relevant third parties, deletion or destruction of the data, objection to the occurrence of a result against him/her by analysing it with automated systems, compensation in case of damage due to unlawful processing of data, and obtain information. Applications and requests in these matters will be fulfilled within the legal maximum periods or may not be accepted by explaining the legal justification to the party.
7.4. The MEMBER has the right to learn whether his/her personal data are processed, to request information if his/her personal data have been processed, to learn the purpose of processing his/her personal data and whether they are used in accordance with their purpose, to know the third parties to whom personal data are transferred domestically or abroad, to request correction of personal data in case of incomplete or incorrect processing, to request the deletion or destruction of personal data within the framework of the conditions stipulated in the law, to request notification to third parties to whom personal data are transferred regarding the correction, deletion or destruction of personal data, to object to the occurrence of a result to the detriment of the person himself/herself by analysing the processed data exclusively through automated systems, and to request compensation for damages in case of damage due to unlawful processing of personal data.
7.5. The Parties hereby agree that all information obtained by the Parties from each other under this Agreement and obtained as a result of the services provided is confidential and confidential information due to the mutual relationship of the Parties. The Parties are obliged not to disclose this information to third parties in any way. Exceptions to the obligation not to disclose Confidential Information are the cases where the authorised official authorities request Confidential Information within the framework of legal regulations and the situations permitted by this Membership Agreement.
7.6. By approving this Agreement, the MEMBER accepts the Privacy Policy on www.colorsalone.com and/or www.colorsalone.com.tr. Colorsalone has the right to share, transfer and process the MEMBER\'s personal information with the relevant authorities and/or third parties upon the request of the law, court decision or administrative authorities and/or as required under the conditions specified in the Agreement and the Privacy Policy.
7.7. The MEMBER, by approving this Membership Agreement, accepts and undertakes that he/she has read the Clarification Text on the Processing of Personal Data at www.colorsalone.com and/or www.colorsalone.com.tr and that he/she consents to the processing of his/her personal data by Colorsalone. Colorsalone agrees and undertakes that it will process the MEMBER\'s personal data in accordance with the Personal Data Protection and Processing Policy at www.colorsalone.com and/or www.colorsalone.com.tr.
8. OTHER PROVISIONS
8.1. Amendment
Any amendments, additions, deletions or cancellations to be made to the Agreement shall be valid with the unilateral declaration of Colorsalone. The MEMBER is obliged to follow the changes to be made in this Agreement. If any amendment is not accepted by the MEMBER, the MEMBER may choose to terminate the Agreement prospectively.
8.2. Severability of Articles
All provisions of the Agreement are severable and if one of its provisions is declared invalid, cancelled or otherwise disappears, the validity of the other provisions of the Agreement shall not be affected. The Parties agree that the abrogated provision shall be replaced by a provision which will not be abrogated by reason of invalidity or cancellability and which will have the closest economic consequences to the abrogated provision.
8.3. Waiver
Waivers that are not in writing or signed by the party waiving its rights shall not be valid. The refusal of either party to demand the fulfilment of any of the terms and conditions of this Agreement or to exercise its rights arising from the breach of the Agreement shall not be interpreted as a waiver of the application of such terms and conditions in future breaches.
8.4. Transfer
The MEMBER can not transfer its rights and obligations arising from the Agreement to third parties. Colorsalone may transfer its rights and obligations arising from the Agreement to third parties.
8.5. Force Majeure
The occurrence of circumstances beyond the will of the Parties, which cannot be foreseen in advance and which prevent and/or delay the Parties from fulfilling their obligations shall be considered as force majeure (For example; natural disasters such as earthquake, flood, fire, government decisions preventing work and activity, strike, lockout, war and mobilisation, infectious diseases, etc.). The Parties shall not be held liable for failure to fulfil their obligations in full or on time due to force majeure. If the force majeure event lasts for more than 10 (ten) days, the Parties have the right to terminate the Agreement immediately without any prior notice.
8.6. Notification Addresses
Provided that the provision 18/3 of the TCC is hereby reserved, notifications to be made pursuant to this Agreement shall be made to Colorsalone\'s legal notification address specified in Article 1 of the Agreement; to the address registered/to be registered by the MEMBER on www.colorsalone.com and/or www.colorsalone.com.tr via notary, telegram, registered letter with return receipt or electronic mail. The parties agree that all kinds of proceedings and notifications to be made to these addresses are valid and legal. If changes in the address or contact information of the parties are not notified to the other party within 3 (three) business days at the latest from the date of change, notifications to the old addresses and numbers will be deemed valid.
9. EVIDENTIAL AGREEMENT
The parties hereby agree and declare that all computer records, books, records and documents belonging to Colorsalone and MEMBERS shall be taken as evidence in accordance with Article 193 of the Code of Civil Procedure No. 6100 and that such records constitute an evidential contract in all disputes that may arise for transactions related to this contract.
10. JURISDICTION AND THE APPLICABLE LAWS
The Parties agree that Turkish Law shall apply to any disputes arising from the application and interpretation of the Agreement and that Istanbul Çağlayan Courts and Enforcement Directorates shall be competent.
11. EFFECTIVENESS AND TERMINATION
The MEMBER hereby accepts and declares that he/she has read this Agreement without any objection and accepts its content. When the MEMBER fills in the membership form, clicks on the "I have read and accept the Membership Agreement and Privacy Policy" box at the bottom of the form and presses the "Become a Member" button, this Agreement enters into force indefinitely between the parties. The parties may terminate this agreement at any time by mutual written declaration. Also: Colorsalone reserves the right to cancel the Membership in the following cases.
- If the MEMBER sends unethical messages, sends messages, writes comments,
- If the MEMBERattempted to commit fraud,
- If the MEMBER has made physical or virtual (online) attempts to damage the system or its name.
PRIVACY POLICY
